3. Client Obligations

As a client, you agree to:

  • Provide accurate and complete information about your financial situation
  • Cooperate fully with our advisors and any appointed insolvency practitioners
  • Disclose all relevant assets, liabilities, and financial transactions
  • Comply with all legal requirements and court orders
  • Pay all agreed fees and charges in accordance with our payment terms

4. Payment Terms

4.1 Fees

Our fees will be clearly communicated before any work begins. Fees may include:

  • Initial consultation fees
  • Ongoing advisory fees
  • Third-party costs (court fees, practitioner fees, etc.)
  • Administrative charges

4.2 Payment Schedule

Payment terms will be agreed upon engagement and may include:

  • Upfront payments for initial services
  • Monthly payments for ongoing services
  • Payment upon completion of specific milestones

5. Confidentiality

We maintain strict confidentiality regarding all client information. However, we may be required to disclose information:

  • To licensed insolvency practitioners working on your case
  • To regulatory authorities when legally required
  • To courts and legal advisors as necessary
  • To creditors when authorized by you or required by law

6. Limitation of Services

Please note that Director First:

  • Is not a licensed insolvency practitioner
  • Cannot provide formal legal advice
  • Cannot act as an official receiver or trustee
  • Cannot guarantee specific outcomes or results

7. Termination

Either party may terminate this agreement:

  • With 14 days written notice for ongoing services
  • Immediately in case of breach of these terms
  • Immediately if payment terms are not met
  • Upon completion of agreed services

8. Liability and Indemnity

Our liability is limited to the fees paid for our services. You agree to indemnify Director First against any claims arising from:

  • Inaccurate or incomplete information provided by you
  • Your failure to comply with legal obligations
  • Actions taken contrary to our advice
  • Third-party claims related to your business operations

9. Intellectual Property

All materials, advice, and intellectual property provided by Director First remain our property. You may not:

  • Reproduce or distribute our materials without permission
  • Use our trade names or trademarks
  • Reverse engineer any proprietary processes
  • Share confidential methodologies with third parties

10. Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, strikes, or technological failures.

11. Data Protection

We process your personal data in accordance with UK data protection laws. Please refer to our Privacy Policy for detailed information about how we collect, use, and protect your data.

12. Dispute Resolution

Any disputes arising from these terms will be resolved through:

  1. Direct negotiation between the parties
  2. Mediation through an agreed mediator
  3. If necessary, litigation in the courts of England and Wales

13. Governing Law

These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any disputes arising from these terms or our services.

14. Amendments

We reserve the right to modify these terms at any time. Changes will be communicated to existing clients and posted on our website. Continued use of our services constitutes acceptance of modified terms.
